Estelle Membership – Terms and Conditions

1. General

Estelle AB, a Swedish company with registration No. 559273-7893 (“Estelle”, “us”, “we”, or “our”) provides portable multimedia devices for video streaming and projections (“Estelle Devices”).

To create added value for users of Estelle Devices, we offer the possibility of membership with Estelle ("Estelle Membership") whereby registered members are given access to [addtional communication channels to us and various types of benefits linked to the use of Estelle Devices.]

These terms and conditions (“Terms”) govern the relation between you (“you”, “your”) and Estelle with regard to your Estelle Membership. By registering for an Estelle Account (as defined below), you agree to be bound by these Terms. 

Please read the Terms thoroughly before accepting them. If you do not agree to the Terms, you may not register for an Estelle Account or get an Estelle Membership.

1. About the Estelle Membership

The Estelle Membership is free of charge.

Through the Estelle Membership, you will have access to various ways and means of communicating with us in all matters related to your use of your Estelle Device. You also get access to different types of information about your Estelle Device and our support channels. In addition, we may choose the Estelle Membership to include access to various features and functionality to Estelle Devices that support an improved user experience. 

We reserve the right to make changes to the features of the Estelle Membership at any time. Information about the current features of Estelle Membership can be found on the Website.

1. Membership Agreement

To register an Estelle Account and get an Estelle Membership, you must enter into a membership agreement with us (“Membership Agreement”). You enter into the Membership Agreement by confirming during the Estelle Account registration process that you have read and accepted the Terms and that you are agreeing to enter into the Membership Agreement. The Terms, which are an integral part of the Membership Agreement, are available for reference on the Website.

1. Estelle Account

To get an Estelle Membership, you must register a user account with us (an “Estelle Account”) provide the mandatory information (such as name and contact details) requested during the registration process. In addition to the mandatory information, we may offer you the possibility to provide additional information in order to further personalize your Estelle Membership. 

Your Estelle Account is personal, and you may not assign or otherwise transfer your Estelle Account to another party.

It is important that you provide correct information when registering your Estelle Account, and that you keep the information in your Estelle Account up to date. You are always responsible for ensuring that the information you have provided is correct, complete and current. 

During registration you will create your own personal login credentials (“Account Credentials”). You are responsible for keeping your Account Credentials and other Estelle Account related information in a safe manner and in a way that they remain inaccessible to unauthorized persons. The Account Credentials and other Estelle Account related information are personal and may not be transferred to or used by someone else than you. You acknowledge and agree that you are fully responsible for all activities on your Estelle Account.

You agree to immediately notify us of any unauthorized use, or suspected unauthorized use of your Estelle Account. 

Your Estelle Account is automatically terminated when the Membership Agreement expires in accordance with section 8.

1. Personal data

Your personal data associated with your Estelle Account and Estelle Membership will be processed in compliance with applicable data protection legislation. For information about how we process your personal data, please refer to our privacy notice.

1. Disclaimer

The Estelle Membership is provided to you free of charge and on an "as is" basis without warranty of any kind, either express or implied, including, but not limited to, its content, scope, features, or fitness for a particular purpose. Subject to any provisions of mandatory law, you acknowledge agree that your sole and exclusive remedy for any problems or dissatisfaction with the Estelle Membership is to terminate the Membership Agreement.

1. Limitation of liability

To the maximum extent permitted by applicable law, we disclaim liability for any damage, whether direct or indirect, resulting from your Estelle Membership.

1. Term, termination and suspension

The Membership Agreement will remain in force until terminated by you or Estelle in accordance with these Terms.

You may at any time terminate the Membership Agreement by sending a notice to us at support@estelle.com.

Estelle may at any time terminate the Membership Agreement with 1 months’ notice.

In addition to the above, Estelle may, at any time and with immediate effect, temporarily or permanently suspend your Estelle Account, as well as terminate the Membership Agreement, if you do not comply with the Membership Agreement and the Terms, or if Estelle can reasonably assume that this is the case. 

1. Messages and notices

You acknowledge and agree that we may send messages and notices electronically to you, using the contact details provided in your Estelle Account.

All communications and messages to you will be in the English language.

1. Assignment

You may not assign your rights and/or obligations under the Membership Agreement. We are entitled to assign our rights and/or obligations under the Membership Agreement to any legal entity within the Estelle group, provided however that such assignment is not to your significant detriment.

1. Changes to the Terms

We may change these Terms from time to time and notify you of such changes in a reasonable manner before they become effective, including by posting the amended version of the Terms on the Website (provided that for material changes we will endeavor to provide the notice using the contact details provided in your Estelle Account). If you do not agree to be bound by an amended version of Terms, you may at any time terminate the Membership Agreement as set out in section 8.

1. Governing law and jurisdiction

The Membership Agreement shall be governed by the substantive law of Sweden. The courts of Sweden shall have exclusive jurisdiction over any dispute, controversy or claim arising out of or in connection with the Membership Agreement, or the breach, termination or invalidity thereof.
